### **1. Software-as-Service**
If Customer purchases Software-as-a-Service, the following terms and conditions shall apply.

### **2. Professional Services**
If Customer purchases Professional Services, the following terms and conditions shall apply.

### **3. Invoicing and Payment Terms**
Customer will pay to Provider all applicable Fees for the Services specified in each Order Form.

### **4. Warranties & Disclaimers**
Provider makes no representation or warranty about the services, whether express, implied, or statutory.

### **5. Indemnities**
Provider will defend and hold harmless Customer and its shareholders from claims of third parties.

### **6. Liability**
Neither party will be liable for any indirect, consequential, special, or incidental damages.

### **7. Customer Obligations**
Customer shall ensure that its End Users comply with this Agreement.

### **8. Artificial Intelligence**
Customer is solely responsible for the Input and for ensuring that any use of AI Content complies with Applicable Law.

### **9. Term and Termination**
Either party may terminate this Agreement if the other materially breaches its obligations.

### **10. Data Privacy**
Provider’s processing of Personal Data will be governed by the Data Protection Agreement.

### **11. Intellectual Property**
Customer retains ownership of all Intellectual Property Rights in the Customer Data.

### **12. Confidentiality**
The Recipient will protect the Discloser’s Confidential Information using commercially reasonable efforts.

### **13. Insurance**
Each party shall obtain and maintain liability insurance.

### **14. Force Majeure**
Neither Provider nor Customer will be liable for any delay or failure to perform due to a Force Majeure Event.

### **15. Miscellaneous**
The Agreement constitutes the entire agreement between Provider and Customer.
